Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and RD Tax Consultant ("Company," "we," "us," or "our"), a specialist R&D tax credit consultancy operating in Manchester, England.

By accessing our website at rdtaxconsultant.co.uk, submitting an enquiry, signing an engagement letter, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of our services following any changes constitutes acceptance of the revised Terms.

Our Services

RD Tax Consultant provides specialist services to assist UK businesses with Research and Development (R&D) tax credit claims. Our services include, but are not limited to:

  • Initial eligibility assessments and consultations.
  • Technical report preparation documenting qualifying R&D activities.
  • Identification and categorisation of qualifying expenditure.
  • HMRC claim submission and compliance review.
  • Enquiry support and defence in the event of HMRC compliance checks.

The scope of services for each engagement is defined in a separate written engagement letter or service agreement. These Terms apply alongside, and are subject to, the specific terms set out in any such agreement.

Eligibility and Client Account

By using our services, you represent and warrant that:

  • You are at least 18 years of age and have the legal capacity to enter into binding contracts.
  • You are authorised to act on behalf of the company or entity for which you are submitting an R&D tax credit claim.
  • All information you provide to us is true, accurate, complete, and current.
  • You will promptly notify us of any changes to your business circumstances that may affect your claim.

You agree to provide all documentation, records, and information reasonably required for us to prepare and submit your claim. Delays in providing such information may affect our ability to meet HMRC deadlines and may result in additional fees.

Fees and Payment

Our fee structure is transparent and agreed upon in writing before any work commences. We primarily operate on a contingency basis: our fee is calculated as a percentage of the R&D tax credit or relief successfully claimed and received from HMRC.

  • No Win, No Fee: If your claim is unsuccessful or no R&D tax relief is obtained, you will not be liable for our fees, subject to the terms of your engagement letter.
  • Disbursements: You remain responsible for any third-party costs incurred on your behalf, such as accountant fees, technical expert reports, or court fees, unless otherwise agreed.
  • Payment Terms: Fees are typically due within 14 days of receipt of the R&D tax credit from HMRC. We reserve the right to charge interest on late payments at the rate of 8% per annum above the Bank of England base rate.

No Guarantee of Outcome

While we use our expertise to maximise the likelihood of a successful claim, we cannot and do not guarantee that any R&D tax credit claim will be approved by HMRC or that a specific amount of tax relief will be obtained.

HMRC has sole discretion over the acceptance or rejection of R&D tax credit claims. We cannot control HMRC's assessment process, timelines, or decisions. Our role is to prepare accurate, compliant, and well-documented claims based on the information you provide.

In the event that HMRC raises an enquiry or rejects your claim, we will work with you to respond appropriately and, where included in your engagement, provide defence support. However, we are not liable for any tax, penalties, or interest imposed by HMRC.

Intellectual Property

All content on our website, including but not limited to text, graphics, logos, images, and software, is the property of RD Tax Consultant or our licensors and is protected by UK and international intellectual property laws.

Reports, technical narratives, and other documents prepared by us as part of your engagement are provided for your use in connection with your R&D tax credit claim. You may not reproduce, modify, distribute, or commercially exploit these materials without our prior written consent, except as necessary for submission to HMRC.

You grant us a non-exclusive, royalty-free licence to use anonymised data and case study information for marketing, educational, and benchmarking purposes, provided that any such use does not identify you or your business without your consent.

Limitation of Liability

To the fullest extent permitted by applicable law, RD Tax Consultant shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or reputational harm, arising out of or in connection with your use of our services.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or our services shall not exceed the total amount of fees paid by you to us in the 12 months preceding the event giving rise to the liability.

Nothing in these Terms shall exclude or limit our liability for fraud, fraudulent misrepresentation, death, or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable law.

Termination

Either party may terminate the engagement by giving written notice to the other party. Upon termination:

  • You remain liable for any fees due for work completed up to the date of termination.
  • We will return any original documents belonging to you, subject to our right to retain copies for regulatory compliance purposes.
  • Any provisions of these Terms that by their nature should survive termination shall remain in effect, including confidentiality, liability limitations, and governing law provisions.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted on this page with an updated date. Material changes will be communicated to active clients by email where practicable. Your continued use of our services after any changes indicates your acceptance of the revised Terms.
